Business Registration in Germany — The Complete Guide

Business registration (Gewerbeanmeldung) is the first official step into self-employment in Germany. Whether sole proprietor, UG, or GmbH — nothing works without it. This guide takes you through every step.

Company forms at a glance

Before registering, choose the right legal form:

Sole proprietorship (Einzelunternehmen/freelancer): The simplest form — but full personal liability. No minimum capital. Ideal for solo self-employed and freelancers.

GbR (civil law partnership): For 2+ people without capital requirements. Simple, but also personal liability.

UG (haftungsbeschränkt): Limited liability from €1 share capital. The "mini-GmbH" for founders with little starting capital.

GmbH (limited liability company): Limited liability, professional, €25,000 minimum capital. The first choice for most growth-oriented companies.

Freelancer vs. trade business

An important distinction in Germany:

Freelancers (Freiberufler — doctors, lawyers, journalists, IT consultants, etc.) do not register with the trade office — only with the tax office.

Trade businesses (all other self-employed activities) need a trade registration (Gewerbeanmeldung) at the trade office.

When in doubt: the tax office decides whether an activity is freelance or commercial.

Step by step: registering a business

1. Preparation and research

  • Define your business idea and target market
  • Check your business name (uniqueness)
  • Check the permits required for your industry

2. Trade registration at the trade office

Responsible: The trade office (Gewerbeamt) at your company's location.

Online or in person: Many cities offer online registration. Berlin, Hamburg, and Munich have fully digital processes.

Cost: €10–€65 depending on the municipality.

Processing time: 1–3 working days.

3. Required documents

  1. ID card or passport
  2. Registration certificate (proof of residence)
  3. Completed trade registration form
  4. For GmbH/UG: commercial register extract + articles of association
  5. Industry-specific permits (e.g. restaurant license, broker license)
  6. Lease or proof of business premises

4. Tax registration with the tax office

After the trade registration, the tax office gets in touch automatically. You receive:

  • Tax number (for income and trade tax purposes)
  • VAT ID (if liable for VAT)

You can also proactively contact the tax office and submit the tax registration questionnaire online via ELSTER.

5. Commercial register entry (GmbH/UG/AG only)

Sole proprietorships and GbRs are optional in the commercial register (unless running a commercial-scale operation). GmbH and UG must be entered — this is handled through a notary.

6. Further registrations

  • IHK/HWK: Membership in the Chamber of Industry and Commerce or Chamber of Crafts is established automatically with the trade registration
  • Employers' liability insurance association: Accident insurance for employees (mandatory from the first hire)
  • Social insurance: As a self-employed person you're not automatically insured — you need private health insurance or voluntary statutory coverage
